DataModal AI (“DataModal,” “we,” “us,” or “our”) provides the Business Context Execution Engine, an enterprise data governance, data quality, and AI-context platform (the “Platform” or “Services”), together with our marketing website at datamodal.com (the “Site”).

This Privacy Policy explains what personal information we collect, how we use and share it, and the choices and rights available to you. It applies to visitors to our Site, prospective customers who request a demo or access, and individual users of the Platform (“Workspace Users”) acting on behalf of a customer organization (a “Customer”).

If you are a Workspace User, your use of the Platform may also be subject to policies set by your employer, who controls your account and access.

  • Audit trail records — operational events recorded for governance and compliance, retained for a configurable period (90 days by default).
  • AI Assistant conversations — prompts and responses, stored as part of your session history when this feature is enabled.

When a Workspace User submits a prompt, that content is transmitted to a third-party AI model provider for processing — depending on your organization’s configuration, this may be Anthropic (Claude models), Amazon Web Services (Amazon Bedrock), OpenAI, or Microsoft Azure OpenAI.

These providers process submitted content solely to generate a response, under their own data handling terms and any contractual commitments in place with DataModal and/or your organization. We recommend avoiding sensitive personal information in AI Assistant prompts unless your organization’s policies permit it.

06Customer data

The Platform is designed to be deployed within a Customer’s own environment — on-premises or within the Customer’s private cloud — one deployment per Customer organization.

  • Customer data stays at the source. The Platform connects directly to a Customer’s own databases, warehouses, SaaS applications, and file/streaming systems using Customer-supplied credentials. Data is not copied to or centralized on servers operated by DataModal as a standard part of operation.
  • Credentials are not stored in plain text. Connection credentials are stored as references to a secrets manager, vault, or environment-based store rather than as plain text.
  • Metadata, not bulk copies. Governance features (cataloging, lineage, data quality, ontology, knowledge graph) generally operate on metadata describing Customer Data’s structure and quality, consistent with the Platform’s “data stays in place” design.
Any personal information contained within Customer Data is processed by DataModal solely as a service provider on behalf of the Customer (the data controller), under the applicable agreement with that Customer. Individuals whose information may appear in Customer Data should direct requests to that Customer organization.

07Security

We use technical and organizational measures designed to protect information, including:

  • Password hashing — passwords are never stored in plain text
  • Token-based authentication for Platform access
  • Role-based access control for Workspace Users
  • Encrypted, vault-backed storage for connection credentials
  • HTTPS/TLS for data in transit
  • Audit logging of security-relevant operations

No method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

08Retention

  • Demo / access requests — retained as long as reasonably necessary to respond, unless you ask us to delete it sooner.
  • Workspace account data — retained while your account is active, and briefly afterward per your organization’s agreement with us or applicable law.
  • Audit trail data — retained per your organization’s configured period (90 days by default), unless a longer period is legally required.

09Your rights

Depending on your location, you may have rights to access, correct, or delete your information; object to or restrict certain processing; request a portable copy; or withdraw consent where processing relies on it.

To exercise these rights, contact contact@datamodal.com. If your data was submitted by your employer as part of a Workspace account, we may direct your request to that organization, which controls the account.

Residents of the EEA, UK, Switzerland, California, and other jurisdictions with comprehensive privacy laws may have additional rights (e.g., GDPR, UK GDPR, CCPA/CPRA). We do not sell personal information and do not use it for cross-context behavioral advertising.

10International transfers

If we transfer personal information across borders, we take steps to ensure appropriate safeguards are in place consistent with applicable law — for example, standard contractual clauses for transfers from the European Economic Area or United Kingdom.

11Children’s privacy

Our Site and Platform are intended for business use by adults and are not directed to children. We do not knowingly collect personal information from children under 16.

12Changes to this policy

We may update this Privacy Policy from time to time. Material changes will be reflected in an updated “Last updated” date above and, where appropriate, additional notice.

Scope. These Terms govern access to and use of our marketing site, demo/access requests, and Workspace User accounts on the Business Context Execution Engine platform. If your organization has a signed order form or master subscription agreement with DataModal, that agreement controls to the extent it conflicts with these Terms — see Section 4.

01Acceptance of these Terms

These Terms of Service and Conditions (“Terms”) form an agreement between DataModal AI (“DataModal,” “we,” “us,” or “our”) and you, governing your access to and use of our marketing website at datamodal.com (the “Site”) and the Business Context Execution Engine platform (the “Platform” or “Services”).

By visiting the Site, requesting a demo or access, or logging in to a Workspace, you agree to be bound by these Terms. If you are accepting on behalf of an organization (a “Customer”), you represent that you have authority to bind that organization, and “you” refers to both you and the Customer.

If you do not agree to these Terms, do not use the Site or the Services.

02Definitions

03The Services

The Platform is a data governance, data quality, and AI-context engine that connects to a Customer’s own data sources — databases, warehouses, SaaS applications, and file or streaming systems — to provide cataloging, profiling, data quality, lineage, semantic modeling, knowledge graph, and AI-assisted mapping capabilities, together with an optional AI Assistant.

We may add, change, or discontinue features of the Services from time to time. We will provide reasonable notice before discontinuing a feature that a Customer actively relies on under an active Order Form.

04Order forms & agreements

These Terms apply by default to all use of the Site and Platform. Where a Customer has a separately negotiated Order Form or master subscription agreement with DataModal, that document governs the commercial relationship, and its terms control over these Terms in the event of a direct conflict. Everything not addressed there is governed by these Terms.

A demo, trial, or evaluation Workspace provided before any Order Form is signed is governed solely by these Terms and may be limited in scope, data volume, or duration at our discretion.

05Accounts & eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. Workspace Users act on behalf of, and are provisioned by, a Customer; the Customer is responsible for its Workspace Users’ compliance with these Terms and for all activity under its Workspace.

  • Keep login credentials confidential and notify us promptly of any suspected unauthorized access.
  • Provide accurate information when requesting a demo, requesting access, or administering a Workspace.
  • Your organization is responsible for assigning and reviewing the roles and permissions of its own Workspace Users.

06Subscriptions & fees

Paid access to the Platform is governed by the fees, billing frequency, and payment terms set out in the applicable Order Form. Unless the Order Form states otherwise:

  • Fees are invoiced in advance and are non-refundable except as expressly stated.
  • Late payments may result in suspension of Workspace access after reasonable notice.
  • Fees are exclusive of taxes, which are the Customer’s responsibility unless we are required to collect them.

07Customer Data

As between DataModal and the Customer, the Customer retains all right, title, and interest in and to its Customer Data. DataModal is granted only the rights necessary to provide the Services.

  • Data stays at the source. The Platform connects directly to a Customer’s own databases, warehouses, SaaS applications, and file/streaming systems using Customer-supplied credentials. Customer Data is not copied to or centralized on servers operated by DataModal as a standard part of operation.
  • Credentials are not stored in plain text. Connection credentials are stored as references to a secrets manager, vault, or environment-based store rather than as plain text.
  • Metadata, not bulk copies. Governance features (cataloging, lineage, data quality, ontology, knowledge graph) generally operate on metadata describing Customer Data’s structure and quality, consistent with the Platform’s “data stays in place” design.
  • Use limited to the Services. We will not use Customer Data to train general-purpose models or for any purpose other than providing, securing, and supporting the Services to that Customer, except with the Customer’s written permission.

Any personal information contained within Customer Data is processed by DataModal solely as a service provider on behalf of the Customer, under the applicable Order Form and, where required, a data processing agreement. The Customer is responsible for having a lawful basis to provide such data to the Platform.

08AI features & providers

The Platform includes an optional AI Assistant and AI-assisted mapping features. When a Workspace User submits a prompt or triggers an AI-assisted action, the relevant content is transmitted to a third-party AI model provider for processing — depending on the Customer’s configuration, this may be Anthropic (Claude models), Amazon Web Services (Amazon Bedrock), OpenAI, or Microsoft Azure OpenAI.

These providers process submitted content solely to generate a response, under their own terms and any contractual commitments in place with DataModal and/or the Customer. AI-generated output may be inaccurate or incomplete; Workspace Users are responsible for reviewing AI-generated suggestions before relying on them for governance, quality, or compliance decisions.

09Acceptable use

You agree not to:

  • Use the Services to violate any applicable law, or to process data you are not authorized to process;
  • Attempt to bypass access controls, rate limits, or security measures, or probe, scan, or test the Platform’s vulnerability without our prior written consent;
  • Reverse engineer, decompile, or attempt to extract the source code of the Platform, except to the extent applicable law permits despite this restriction;
  • Resell, sublicense, or provide the Services to a third party outside your own organization without our prior written consent;
  • Upload or connect data sources containing malware, or interfere with the integrity or availability of the Platform or its infrastructure;
  • Use the Services to build a directly competing product.

10Intellectual property

DataModal and its licensors retain all right, title, and interest in and to the Platform, the Site, and all underlying software, models, designs, and documentation, including any improvements or feedback incorporated into them. These Terms grant no ownership rights in the Services.

Subject to these Terms and the applicable Order Form, we grant the Customer a limited, non-exclusive, non-transferable right to access and use the Platform during the applicable subscription term, solely for the Customer’s internal business purposes.

11Confidentiality

Each party may receive non-public information from the other (“Confidential Information”), including Customer Data, Workspace configuration, and pricing terms. Each party will use the other’s Confidential Information only to perform its obligations under these Terms, protect it with the same degree of care it uses for its own similarly sensitive information (and no less than reasonable care), and not disclose it except to personnel and subprocessors who need it and are bound by similar obligations.

This obligation does not apply to information that is or becomes public through no fault of the receiving party, was already lawfully known to it, or is required to be disclosed by law, provided reasonable notice is given where legally permitted.

12Warranties & disclaimers

We will provide the Services with reasonable skill and care and in substantial conformity with any documentation made available to the Customer. Except as expressly stated in these Terms or an applicable Order Form:

The Services and Site are provided “as is” and “as available.” To the fullest extent permitted by law, DataModal disclaims all other warranties, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade. We do not warrant that the Services will be uninterrupted, error-free, or that all data quality or AI-generated output will be accurate.

13Limitation of liability

To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to these Terms or the Services, even if advised of the possibility of such damages.

Each party’s total liability arising out of or related to these Terms will not exceed the fees paid or payable by the Customer to DataModal in the twelve (12) months preceding the event giving rise to the claim.

These limitations do not apply to a party’s breach of its confidentiality obligations, a party’s indemnification obligations, or liability that cannot be limited under applicable law.

14Indemnification

DataModal will defend the Customer against a third-party claim alleging that the Platform, as provided by us and used in accordance with these Terms, infringes that third party’s intellectual property rights, and will indemnify the Customer against damages finally awarded, subject to prompt notice and our control of the defense.

The Customer will defend and indemnify DataModal against third-party claims arising from the Customer’s Data, the Customer’s breach of the Acceptable Use provisions in Section 9, or the Customer’s violation of applicable law in its use of the Services.

15Term & termination

These Terms remain in effect for as long as you use the Site or the Services. A Customer’s subscription term is set out in its Order Form and renews as specified there.

  • Either party may terminate for the other’s uncured material breach after 30 days’ written notice.
  • We may suspend or terminate access to protect the security or integrity of the Platform, or where required by law, with notice where reasonably practicable.
  • On termination, Workspace User access ends; we will make Customer Data exports available for a reasonable period as described in the applicable Order Form, after which it may be deleted.

16Governing law & disputes

These Terms are governed by the laws of the jurisdiction specified in the applicable Order Form, without regard to conflict-of-laws principles. Where no Order Form applies, these Terms are governed by the laws of the State of Delaware, USA. The parties consent to the exclusive jurisdiction of the courts located there for any dispute not otherwise resolved by good-faith negotiation.

17Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected in an updated “Last updated” date above and, where appropriate, additional notice to active Customers. Continued use of the Site or Services after a change takes effect constitutes acceptance of the revised Terms. Changes will not be applied retroactively to reduce a Customer’s rights under an active Order Form without that Customer’s consent.

18General provisions

  • Entire agreement. These Terms, together with any applicable Order Form, constitute the entire agreement between the parties regarding the Services and supersede prior discussions on the same subject.
  • Assignment. Neither party may assign these Terms without the other’s consent, except to a successor in a merger, acquisition, or sale of substantially all assets.
  • Severability. If any provision is held unenforceable, the remaining provisions continue in full force.
  • No waiver. Failure to enforce a provision is not a waiver of the right to enforce it later.
  • Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
